Partner Agreement

This Partner Agreement governs your participation on the Petter platform as a service provider. It is a binding legal contract. Please read every section carefully before accepting onboarding or using your provider account.

Important: Certain violations — including sexual remarks, discrimination, data theft, animal cruelty, or misrepresentation of credentials — will result in immediate and permanent account deactivation and may be reported to regulatory authorities. See §7.

Acceptance of this Agreement

By registering on the Petter platform as a service provider, accepting an invitation to join, or continuing to use your provider account, you unconditionally agree to be bound by this Partner Agreement in full. This Agreement constitutes a legally binding contract between you ("Provider", "Partner", "you") and Petter Home Vet Services ("Petter", "we", "us", "our"). If you do not agree with any part of this Agreement, you must immediately cease use of your provider account and notify us to deactivate it.

Platform Access — Permitted Use Only

Petter grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Petter provider platform solely for the purpose of receiving and fulfilling service bookings made by pet parents through the platform. Any use of the platform beyond this permitted scope — including but not limited to scraping, reverse-engineering, automated querying, or accessing any data beyond what is necessary to fulfil your booked appointments — is strictly prohibited and constitutes a material breach of this Agreement.

Intellectual Property & Business Confidentiality

All intellectual property on the Petter platform — including but not limited to the platform design, user interface, workflows, booking logic, pricing algorithms, data structures, branding, marketing materials, business model, and any proprietary processes — is the exclusive property of Petter Home Vet Services. You must not copy, replicate, reproduce, reverse-engineer, adapt, or attempt to build any product, service, or platform that is substantially similar to or derived from Petter's platform or business model. You must not disclose, share, or misuse any confidential business information you encounter by virtue of being a registered provider. Violation of this clause may give rise to civil and criminal liability under applicable intellectual property and trade secrets law.

Customer Data — Strict Prohibition

All customer data accessible through the Petter platform — including names, phone numbers, email addresses, home addresses, pet details, booking history, and any other personally identifiable information — is the property of Petter and is made available to you solely for the purpose of fulfilling the specific booked appointment. You are strictly prohibited from: (a) storing customer data in any personal system, third-party tool, or database beyond the duration of the appointment; (b) using customer data to contact customers outside of the Petter platform or for any commercial purpose; (c) sharing customer data with any third party; (d) building any customer lists or databases from data accessed through Petter; or (e) using customer data in any way not directly necessary for fulfilling the appointment. Any unauthorised collection, use, or disclosure of customer data is a serious breach of this Agreement and applicable data protection law, and may result in immediate termination of your account and legal action.

Service Quality Obligations

You agree to provide all services booked through the Petter platform to a high professional standard, consistent with the qualifications, experience, and providertype under which you are registered. Specifically, you must: (a) arrive on time for all scheduled appointments or provide advance notice if unable to do so; (b) carry all necessary equipment, medications, and materials required to deliver the booked service; (c) treat all animals humanely, safely, and in accordance with established veterinary or professional practice standards; (d) respond promptly to platform messages from customers within the communication window; (e) complete appointments diligently and to the best of your professional ability; and (f) immediately escalate any emergency or welfare concern to the pet parent and, where appropriate, refer the animal to an emergency facility. Habitual missed appointments, poor service quality, or failure to complete booked services without valid reason may result in suspension or permanent deactivation of your account.

Professional Conduct Standards

You must maintain a high standard of professional conduct at all times when interacting with pet parents, their animals, other platform providers, and Petter staff — whether through the platform, during an appointment, or in any other context connected with your role as a Petter provider. This includes communicating respectfully, maintaining appropriate boundaries, presenting yourself professionally, and never making comments or taking actions that could reasonably be considered offensive, threatening, or discriminatory. You must not discuss or promote your personal religious, political, or ideological beliefs with customers in the course of a service. Any conduct that a reasonable professional would regard as unprofessional, inappropriate, or harmful will be treated as a breach of this Agreement.

Zero-Tolerance Prohibitions

The following acts constitute serious breaches of this Agreement and will result in immediate and permanent deactivation of your account, with no right of reinstatement, and may be reported to the relevant professional regulatory body or law enforcement authority: (a) any sexual remark, innuendo, or advance directed at a customer, customer's family member, or any other person encountered through the platform; (b) any discriminatory remark or conduct based on religion, caste, gender, sexual orientation, nationality, race, disability, or any other protected characteristic; (c) physical, verbal, or psychological abuse of any customer, animal, or third party encountered through the platform; (d) theft of property — whether cash, items from the customer's premises, or data; (e) animal cruelty or neglect in any form; (f) misrepresentation of credentials, qualifications, or identity during the onboarding process or at any point thereafter; and (g) deliberate provision of harmful, negligent, or reckless treatment to an animal. Petter reserves the right to immediately freeze your account pending investigation upon receipt of a credible complaint relating to any of the above.

Non-Solicitation & Off-Platform Transactions

You must not, directly or indirectly, solicit or encourage any customer to book, pay for, or receive services from you outside of the Petter platform. You must not share your personal contact details with customers for the purpose of bypassing the platform, offer discounts or incentives to customers to transact off-platform, or in any other way attempt to divert customers away from Petter. This obligation applies during the period you are registered as a Petter provider and for twelve (12) months following the termination or deactivation of your account. A breach of this clause causes direct financial harm to Petter and will be pursued accordingly.

Provider Representations & Warranties

By registering as a provider, you represent and warrant that: (a) all credentials, qualifications, licences, and registrations you have submitted to Petter are genuine, current, and unaltered; (b) you are legally permitted to provide the category of service under which you are registered in the jurisdiction where you will operate; (c) you carry adequate professional indemnity or liability insurance appropriate for your service type; (d) you are not subject to any disciplinary proceedings, professional sanctions, criminal convictions, or restraining orders that would make it inappropriate for you to work with animals or enter customers' homes; and (e) you will notify Petter immediately if any of the above representations ceases to be true. Providing false representations during or after onboarding is a material breach and grounds for immediate termination.

Termination & Deactivation

Petter reserves the right to suspend or permanently deactivate your provider account at any time, with or without prior notice, if: (a) you breach any provision of this Agreement; (b) a credible complaint is received from a customer; (c) you receive a pattern of low ratings or negative feedback; (d) your professional licence or registration is suspended or revoked; (e) you fail to maintain an acceptable level of service quality; or (f) Petter determines, in its sole discretion, that continued association with you is not in the best interests of the platform or its customers. Upon termination, your access to the platform, customer data, and all booking history will be revoked immediately. No compensation is owed for any loss of future earnings arising from termination for cause.

Indemnification

You agree to indemnify, defend, and hold harmless Petter Home Vet Services and its founders, officers, directors, employees, and affiliates from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) any service you provide or fail to provide through the platform; (b) your breach of this Agreement; (c) any misrepresentation made during onboarding or thereafter; (d) any harm caused to an animal, customer, or third party arising from your acts or omissions; or (e) your violation of any applicable law or professional regulation. This indemnification obligation survives the termination of your provider account.

Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with this Agreement shall first be subject to good-faith negotiation between the parties. If unresolved within thirty (30) days, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Bengaluru, Karnataka. The language of arbitration shall be English. Nothing in this clause prevents Petter from seeking injunctive or other equitable relief from a court of competent jurisdiction to protect its intellectual property or confidential information.

Amendments

Petter reserves the right to update or modify this Partner Agreement at any time. Updated terms will be made available through the platform with a revised date. Your continued use of your provider account after the updated terms are posted constitutes your acceptance of the revised Agreement. It is your responsibility to review this Agreement periodically. We will make reasonable efforts to notify active providers of material changes via the platform or by email.
